Confidentiality Clauses – Protection of the Information Memorandum
By accessing the confidential information document (the "Information Memorandum") provided
by SEPTIEME GALLERY, the user (the "Recipient") expressly acknowledges and agrees to
the following confidentiality obligations:
1. Purpose and Scope of Confidentiality

The Information Memorandum contains confidential, strategic, financial, commercial, and
operational information relating to SEPTIEME GALLERY and its fundraising project (the
"Confidential Information"). Such information is provided solely for the purpose of reviewing
and evaluating the potential investment opportunity in SEPTIEME GALLERY's project.
The Recipient undertakes to:
● Not disclose, transmit, or communicate, directly or indirectly, all or any part of the
Confidential Information to any third party, by any means whatsoever, without the prior
written consent of SEPTIEME GALLERY;
● Protect and preserve the confidentiality of the Confidential Information with the same
degree of care it applies to its own confidential information, and at least with reasonable
care;
● Use the Confidential Information exclusively for the purpose of evaluating the investment
opportunity and for no other purpose, whether direct or indirect.

2. Restricted Disclosure
The Recipient may share the Confidential Information solely with its team members or
professional advisors (such as lawyers, accountants, or consultants) who need to know such
information strictly for the purpose of evaluating the investment opportunity, provided that they
are bound by confidentiality obligations at least equivalent to those set forth herein.
3. No Rights Granted over the Information
The disclosure of the Confidential Information shall not be construed as granting the Recipient
any ownership, exploitation, or license rights over such information. The Recipient shall not
claim any intellectual property rights or any other rights over all or part of the Information
Memorandum.
4. Exceptions
The confidentiality obligations set forth herein shall not apply to information that the Recipient
can demonstrate:
● Was already in its possession prior to disclosure by SEPTIEME GALLERY;
● Has entered the public domain without breach of these confidentiality obligations;
● Was lawfully received from a third party authorized to disclose such information.

5. Duration of Obligations
The confidentiality obligations set forth herein shall become effective upon acceptance of these
clauses and shall remain in force for a period of five (5) years from that date.
6. Governing Law and Jurisdiction
These confidentiality clauses are governed by French law.
Any dispute relating to the performance, interpretation, or validity of these clauses shall be
submitted to the exclusive jurisdiction of the courts of Paris (France).

By ticking the corresponding box and downloading the Information Memorandum, the
Recipient acknowledges having read, understood, and unconditionally accepted these
Confidentiality Clauses.
